Quotation and Order Terms

These terms govern custom printing and packaging quotations and orders between Asmaa Al-Aqeelah Establishment, trading digitally as ASMAA PACK, and the customer. The quotation, specification, artwork approval and these terms form the order documents.

1. Quote requests are not purchase orders

Submitting a form, image, dimension or logo does not require the Establishment to accept the work and does not require the customer to buy. Feasibility is reviewed and a quotation is issued with products, quantities, price, tax, delivery, payment and special conditions.

2. Contract formation and priority

Unless the quotation states otherwise, the order becomes binding only when the customer accepts the quotation within validity, required payment is received, final artwork and specifications are approved, and the Establishment confirms acceptance or production start.

Order of priority: later signed amendment, specific quotation, approved specification and artwork record, these terms, then general website description.

3. Customer representative

A person accepting a quotation or artwork represents that they are authorized. The Establishment may rely on approval from the mobile number, email or account identified by the customer unless written notice of a change is received before production begins.

4. Prices

The quotation remains valid for the period stated in it and is based on the information available when issued. A change in size, stock, quantity, artwork, print, finishing or delivery may require revised pricing.

VAT, delivery and other charges are applied as stated. Work not expressly listed is not included.

5. Payments

Deposit and balance requirements are stated in the quotation. Material purchase, tooling and production do not begin until the required payment and approval are received.

A deposit should not be described as absolutely non-refundable. On cancellation, the Establishment may deduct completed work, dedicated material, actual cost and committed liability, subject to mandatory law.

6. Use information

The customer must accurately disclose the product, weight, size, temperature, moisture, grease, acidity, contact duration, storage, transport, heating, microwave, freezing and direct or secondary contact requirements where relevant. A special use must not be assumed when it was not disclosed and confirmed.

7. Food contact

A general website statement or image does not certify that every stock is suitable for every food or temperature. Suitability depends on the specific material, use, specification and available documentation.

The Establishment is responsible for an expressly stated specification or certificate. The customer must use the packaging within approved limits.

8. Regulatory product content

The customer is responsible for product names, prices, ingredients, warnings, origin, nutrition, barcode, QR code and legally required label content unless a specific compliance review service is agreed in writing. Print proofreading is not legal or food-regulatory advice.

9. Rights in customer content

The customer warrants that logos, images, fonts, artwork and wording are owned or properly licensed. The customer indemnifies the Establishment against reasonable direct third-party claims caused by customer content, except to the extent caused by material added by the Establishment without approval.

10. Artwork preparation

The quotation states whether artwork is print-ready or requires preparation. Basic preparation may include size, bleed, resolution, color setup or placement. It does not include a full identity redesign unless separately agreed.

11. Digital proofs

A digital proof is for content, placement and general scale. It cannot guarantee an exact screen-to-print color match because displays, materials, ink, finishing and lighting differ. Reference colors or special matching must be expressly specified before production.

12. Artwork approval

The customer must review dimensions, orientation, spelling, numbers, logos, images, barcode, QR code, contact details, cut and fold areas, bleed, reference color, stock, finishing, quantity and delivery.

After approval, the customer is responsible for an error that was visible in the approved file and was not introduced by the Establishment after approval.

13. Samples and prototypes

Where requested, the quotation states sample cost, timing and the extent to which it represents final stock, print and finishing. A handmade or digitally produced prototype may differ from a full production run.

14. Manufacturing tolerances

Printing and packaging involve reasonable tolerances in cutting, folding, gluing, registration, color, dimensions and quantity. The tolerance stated in the quotation or approved specification applies. If none is stated, commercially reasonable tolerances for the material and process apply, without excusing a material defect or substantial nonconformity.

15. Quantity variation

Overruns or underruns may only be invoiced or accepted where the quotation states a permitted range and clear calculation. Otherwise the agreed quantity is the reference, subject only to immaterial counting or packing differences.

16. Changes after approval

A change after artwork approval, material purchase or production start is subject to feasibility, additional charges and schedule revision. A new approval version is required for a material content, dimension or specification change.

17. Cancellation

Printed or customer-specific goods are custom. After approval, material allocation or production start, cancellation is only accepted with Establishment approval and settlement of completed work and cost, without limiting mandatory consumer rights or rights relating to defective or nonconforming goods.

18. Schedule

Any timing before acceptance, payment and approval is an estimate. Production time begins from the date stated in order confirmation. Customer delay in files, decisions, payment or approvals may move the schedule.

The Establishment will communicate an expected material delay and mandatory legal rights remain effective.

19. Delivery and collection

Delivery method, place, charge and responsibility are stated in the quotation. The customer must provide an accurate address and authorized recipient. Risk passes at the agreed delivery point, subject to responsibility for damage caused before that point.

20. Inspection and notice

The customer should reasonably inspect quantity, condition and product on receipt and report visible shortage, damage or material difference without delay with photographs, reference and samples where requested.

21. Remedies

Where a material nonconformity caused by the Establishment is confirmed, an appropriate remedy may include reworking, sorting, replacement, reproduction, credit or refund of the affected portion, subject to law and the nature of the issue.

The customer should not destroy the entire quantity or appoint a third party at the Establishment's cost without a reasonable opportunity to inspect and remedy, except in a documented urgent case.

22. Liability

To the extent permitted by law, direct contractual liability is limited to the value of the affected portion and excludes lost profit, opportunity and indirect or consequential loss.

No limit applies to fraud, gross fault, deliberate misconduct or liability that cannot lawfully be excluded.

23. Storage

24. Tooling and production files

Ownership of dies, knives, plates, tooling and production files is determined by the quotation. Payment of setup cost does not automatically transfer ownership or a right to physical delivery unless expressly stated.

25. Confidentiality and portfolio use

Customer files and commercial details are handled reasonably confidentially. Customer name or work may not be used publicly without consent or a clear lawful right.

26. Force majeure

A party is not responsible for delay or failure caused by an event outside reasonable control, provided it gives notice and takes reasonable mitigation steps. If performance becomes impractical for an extended period, the parties will agree postponement, modification or termination of the affected part and settlement of performed work under law.

27. Data and communications

Customer data is processed under the Privacy Notice. Email, WhatsApp and the website system may be used to exchange quotations, versions and approvals, with a preserved audit record.

28. Law, language and disputes

Saudi law governs. The parties should first seek an amicable solution, then use the competent Saudi court or authority. The Arabic text prevails over the English translation to the extent permitted by law.

29. Mandatory rights

Nothing in these terms removes a right that applicable mandatory law does not permit the parties to exclude. Invalidity of one provision does not invalidate the remainder.
